Corporate & Mergers & Acquisitions Associate

Position Summary

Osterbrock & Associates, LLC is seeking a Corporate Associate with two (2) to four (4) years of experience to join its corporate and transactional practice. Qualified candidates are hardworking individuals with excellent writing and analytical abilities, sound judgment, strong organizational skills, attention to detail, and will have experience advising clients on complex transactions, including mergers and acquisitions, strategic investments, partnerships and joint ventures, capital markets transactions, private securities transactions and related regulatory matters. Candidates must demonstrate excellent academic credentials, strong drafting and analytical skills, and the ability to manage multiple matters in a fast paced, team-oriented environment.

This is a full-time, exempt position based in our Buckhead, Atlanta office.

This is an excellent opportunity for a junior- to mid-level attorney seeking meaningful hands-on experience and direct client exposure in a law firm environment. This role offers significant drafting responsibility, exposure to deal strategy and negotiations, and the opportunity to develop strong transactional skills within a collaborative team environment.

Qualifications

Required:
J.D. from an accredited law school
Active bar admission in good standing in the State of Georgia
Two (2) to four (4) years of sophisticated corporate and transactional law firm experience within the AMLAW 200
Strong drafting, analytical, organizational, and communication skills
Experience with mergers and acquisitions, financing, securities and/or general corporate matters
Detail-oriented with the ability to manage multiple priorities and deadlines
Strong work ethic and desire to develop within a sophisticated transactional practice

Litigation Associate

Position Summary

Osterbrock & Associates, LLC is seeking one or more highly qualified and motivated mid-level to senior (5th to 7th year) Associates to join its Litigation practice. This is a full-time, exempt position based in our Buckhead, Atlanta office.

The Litigation Associate will represent clients in a wide range of litigation matters, including complex commercial disputes and tax-related controversies. The role involves responsibility for managing cases through all phases of litigation, from pleadings and discovery through motion practice, hearings, trial, and appeal. The position may also involve representing clients in U.S. Tax Court and other tax-related administrative or judicial proceedings, including IRS examinations and appeals.

Qualifications

Required:
J.D. from an accredited law school
Active bar admission in good standing in the State of Georgia
Minimum of five (5) years of litigation experience in a law firm or similar legal environment
Strong knowledge of civil litigation procedures, court rules, and motion practice
Excellent legal research, writing, and communication skills, with strong analytical and oral advocacy abilities
Strong organizational skills and the ability to manage multiple matters and deadlines

Preferred:
Strong academic credentials from a top-tier law school
Prior experience working in a large law firm environment
Experience representing clients in U.S. Tax Court or state tax tribunal proceedings
Familiarity with tax controversy matters, including IRS examinations, audits, administrative appeals, or litigation
Experience with complex commercial litigation or regulatory matters
Prior courtroom, deposition, or hearing experience
