The Role
Osterbrock & Associates, LLC is seeking a highly qualified and motivated junior to mid-level (3rd to 5th year) Associate to join its Corporate & Mergers & Acquisitions practice. This is a full-time, exempt position based in our Buckhead, Atlanta office.
The Attorney will support a broad range of sophisticated corporate and transactional matters, with a strong emphasis on mergers and acquisitions, joint ventures, and complex business transactions. The role involves substantial responsibility in drafting and negotiating transaction documents, managing due diligence processes, and advising clients across a wide spectrum of corporate matters.
Key Responsibilities
Draft, review, and negotiate definitive and ancillary transaction documents
Manage and coordinate due diligence processes for mergers, acquisitions, and joint ventures
Advise clients on corporate matters including financings, entity formation, governance, and commercial agreements
Support transactions throughout the full lifecycle, from structuring through closing
Work closely with firm leadership and clients to manage multiple matters efficiently and independently
Collaborate with internal teams and external advisors as needed
Qualifications
Required:
J.D. from an accredited law school
Active bar admission in good standing (Georgia preferred)

Litigation Attorney
The Role
Osterbrock & Associates, LLC is seeking one or more highly qualified and motivated mid-level to senior (5th to 7th year) Associates to join its Litigation practice. This is a full-time, exempt position based in our Buckhead, Atlanta office.
The Litigation Attorney will represent clients in a wide range of litigation matters, including complex commercial disputes and tax-related controversies. The role involves responsibility for managing cases through all phases of litigation, from pleadings and discovery through motion practice, hearings, trial, and appeal. The position may also involve representing clients in U.S. Tax Court and other tax-related administrative or judicial proceedings, including IRS examinations and appeals.
Key Responsibilities
Manage and support all phases of litigation, including pleadings, discovery, motion practice, hearings, trials, and appeals
Draft and review pleadings, motions, briefs, discovery requests, and responses
Conduct legal research and prepare memoranda and written analyses
Represent clients in court proceedings, hearings, depositions, and conferences
Advise clients on litigation strategy, risk assessment, and dispute resolution options
Manage case calendars, deadlines, and litigation strategy in coordination with attorneys and support staff
Handle tax-related litigation and controversy matters, including U.S. Tax Court proceedings, as applicable

Qualifications

The Role

The Corporate Paralegal provides comprehensive legal and administrative support to attorneys across a wide range of corporate and transactional matters. The role supports transactions from inception through closing and assists with ongoing corporate governance and compliance matters.
Key Responsibilities
Support attorneys with mergers and acquisitions, joint ventures, financings, and other corporate transactions
Prepare, draft, and maintain transaction documents, including checklists, closing binders, signature packets, and ancillary agreements

Financial Controller
The Role
Osterbrock & Associates, LLC is seeking a full-time, exempt Financial Controller based in our Buckhead, Atlanta office. This is an onsite position requiring regular in-office presence.
The Controller oversees the firm’s day-to-day accounting and financial operations, ensuring accurate financial reporting, effective internal controls, and regulatory compliance. This role manages financial reporting, budgeting, payroll, trust accounting, and banking activities, and provides financial analysis to support firm operations and strategic planning.
The Controller works closely with the Managing Partner and leadership team to improve financial visibility, strengthen processes, and support informed decision-making. As the firm grows, this Controller plays an integral part in building financial infrastructure, supporting operational efficiency, and enabling sustainable growth.
Key Responsibilities
Financial Operations & Reporting
Lead all accounting functions, including general ledger, accounts payable/receivable, payroll, billing, and trust accounting
Prepare and present monthly, quarterly, and annual financial statements
Ensure timely, accurate payroll processing, tax withholdings, and required payroll filings
Oversee billing operations, including invoice review, billing cycles, and coordination with attorneys to support timely and accurate client billing
Monitor cash flow, working capital, and firm performance metrics
Budgeting, Forecasting & Financial Analysis
Develop and manage firm budget in collaboration with leadership
Prepare financial forecasts, variance analyses, and profitability reporting
Analyze financial results to identify trends, operational risks, and areas of growth
Provide clear, actionable financial insights to support leadership decision-making
Banking, Treasury & Cash Management
Manage banking operations and treasury functions
Review and process wire transfers and electronic fund transactions in accordance with firm authorization protocols

Qualifications
Required:

Experience working with external accountants, auditors, and tax advisors
High level of integrity and discretion in handling confidential financial information
